Clabrate — Terms of Service
Last updated: 13 October 2026
These Terms of Service (these “Terms”) are a binding agreement between you (“you”) and Clabrate (“we”, “us”) governing your use of the Clabrate desktop application, the Spot app for Android (“Spot on Android”), and related updates and documentation (the “Software”). By downloading, installing, or using the Software, you agree to these Terms. If you do not agree, do not install or use the Software.
1. Free license
Subject to these Terms, we grant you a personal, non-exclusive, revocable license to use the Software for personal or internal business purposes, free of charge. You must verify an email address the first time you use the Software on a Mac. After that, the Software’s on-device features keep working on that Mac when you are signed out, when your sign-in session has expired, and when you are offline. There are no paid tiers and no trial period. Spot on Android is free to use without an account; it offers optional in-app purchases (Section 3A).
2. Your account
You must be 16 or older to create an account and use Clabrate. The same applies to Spot on Android, including playing without an account. Use an email address you control, and keep your sign-in codes private. You can sign out, change your email address or delete your account in Settings → About & updates. Changing your email address needs a code from both your current and your new address.
Deleting your account signs this Mac out, and you must verify an email address again before you can keep using the Software. It does not erase the settings, history, downloaded models or Spot collection stored on your Mac. Removing the app from your Mac does not delete your account.
Spot on Android uses the same account. You can delete it there too. Deleting it there also signs the Mac app out of the account. On a Mac where you have already verified your email, the on-device features keep working. Deleting your account permanently deletes everything Spot holds on it, including Inkwells, finds and Daily Boost you paid for (Section 3A). Your phone’s own Spot Collection stays on your phone. The Privacy Policy explains what we hold and what deletion removes.
3. Cloud AI providers and their charges
Cloud AI features are optional. Cloud Voice runs on your Clabrate account and uses Cloud Voice credits. We give free starting credits once for each email address and once for each installation of the app, so an account does not receive them if its address or its installation has already had them. A Cloud Voice conversation needs credits to start and to be renewed: once they run out a running conversation ends, though not always at once, and a new one can be refused while a small balance remains. We may limit, pause or block Cloud Voice on an account to prevent misuse. The other cloud AI features use your own API key or your own login with the feature’s provider. Your agreement with that provider, and its charges, apply to that use. We do not sell credits or subscriptions. The only things we sell are the Spot items in Section 3A. If that changes, we will publish the price and terms before you can buy.
3A. Spot on Android: purchases and virtual items
-
What you can buy. In Spot on Android you can buy packs of Inkwells and Daily Boost through Google Play, at the price Google Play shows before you pay. The packs are “5 Inkwells, 1 Rare” (5 Inkwells in all: 4 ordinary and 1 that always opens to a Rare) and “15 Inkwells, 1 Rare” (15 in all: 14 and 1). Signatures cannot be bought. Google Play takes the payment under its own terms. You need a Clabrate account to buy, and a purchase belongs to the account you were signed in to.
-
Inkwells. An Inkwell opens to a random find for Spot. Each pack has one Inkwell that always opens to a Rare. It picks from the Rares on its own list that you do not have yet. The Shop shows that list, and seasonal Rares are not on it. If you already have every Rare on the list, it opens to one you have. The other Inkwells in a pack are ordinary ones: each can open to a Common, Uncommon, Rare or Signature find. The chance of a Signature is small, and no pack promises one. After a run of duplicates the app raises the chance of finds you do not have yet. The app shows an Inkwell’s chances before you buy it, before you make it from Ink and before you open it. They depend on what you already have, so they can change before you open it. Opening a find you already have gives you Ink instead. You can currently turn 16 Ink into one Inkwell in the app. It can come from a seasonal pool and can open to a find you already have. Once it is made you cannot undo it to get the Ink back, though a duplicate still gives you Ink. It is not a bought Inkwell: it is not part of a pack and has no share of a pack’s refund. If a purchase that gave you Ink is refunded, “Refunds take items back” below still applies to that Ink.
-
Inkwells from ads. Watching rewarded ads is optional. Each watch that is confirmed adds one drop to the ink pump’s meter, and a full meter gives one Inkwell. The meter takes more drops as the day goes on. It starts again at midnight UTC, and unfinished drops do not carry over. If you are signed in, a watch counts only when Google confirms it to our service; if that does not happen, no drop is added, and you can contact support. Drops have no cash value. We may change how many drops an Inkwell takes. An Inkwell from ads, from the daily claim or made from Ink can come from a seasonal pool with its own chances, which the app shows.
-
Daily Boost is a one-time purchase for your account. While it is active, your free daily claim gives 3 Inkwells instead of 1. Days you do not claim do not carry over. Daily Boost lasts for as long as we offer Spot on Android and you keep your account. If we ever stop offering Spot on Android or Daily Boost, we will tell you in the app at least 90 days before. If you delete your account, see “Deleting your account” below. Daily Boost ends if the purchase is refunded or cancelled.
-
Virtual items, not money. Inkwells, finds, Ink and Daily Boost are a licence to use content in Spot. They have no cash value, cannot be exchanged for money, and cannot be sold or transferred to another account. Ink is not sold directly. A Signature you find while signed out is kept on that phone only. It is not added to an account when you sign in, and it is lost if you remove the app, clear its data or change phones.
-
Refunds take items back. A refund gives you your money back, so we take back what the purchase gave you. When Google Play refunds or cancels a purchase, or whole packs from it, for each pack refunded:
- its unopened Inkwells are removed;
- finds from its opened Inkwells are removed, unless you also got them another way;
- any Ink those Inkwells paid out is taken back.
If you have already spent that Ink, you owe the difference in Ink. The app shows how much is left, and Ink you earn later pays it off before you can spend any. It is only ever Ink. You never owe money. A refunded or cancelled Daily Boost returns your daily claim to 1 Inkwell; Inkwells you already claimed stay. The Refund Policy explains how to ask for a refund.
-
Refunds for unopened Inkwells. You can ask us to refund Inkwells you paid for and have not opened, within 30 days of buying them: email support@clabrate.com with your account’s email address and the Google Play order number. We refund them as a share of what you paid: the number still unopened, divided by the number of Inkwells the purchase gave you, times the price you paid. We can do this only while that pack’s Rare Inkwell (the one that always opens to a Rare) is still unopened. Once it is opened, the other unopened Inkwells in that pack cannot be refunded this way. The app opens a pack’s ordinary Inkwells first and its Rare Inkwell last, so the Rare Inkwell is the last one left. We remove the unopened Inkwells we refund. You keep the finds and Ink from the ones you already opened. This does not limit any refund Google Play or the law gives you.
-
Deleting your account. Deleting your account permanently deletes the items you bought and our record of them, so we can’t give those items back or move them to a new account, even one with the same email address. Google Play keeps its own record of your order, which is why a refund request needs your Google Play order number. Deleting does not by itself refund a purchase. If you have unopened Inkwells you bought in the last 30 days, ask for the refund before you delete. After you delete, we no longer know how many were unopened, so we cannot work out a refund for them. Older unopened Inkwells are lost when you delete.
- Daily Boost. Daily Boost is deleted with your account, and it cannot be moved to a new one. Google Play still shows that you own it, so you cannot buy it again from the same Google account. If it was still active, ask us for a refund. To ask for the refund, email support@clabrate.com with the Google Play order number. You can ask before or after you delete, because the Google Play order itself shows it. We can do this for as long as Google Play lets us refund the order.
-
Changes to Spot. We may change Spot’s finds, chances, prices and rewards for future purchases and future uses of Ink.
-
Where you can buy. Inkwells and Daily Boost are sold only in the countries where Google Play offers them in Spot on Android. Where Google Play shows no price for them, they are not for sale. At launch Spot on Android is not available in the European Economic Area or the United Kingdom.
-
Who sells. Inkwells and Daily Boost are sold by Clabrate (ABN 21 622 540 156), 23 Ferny Ave, Surfers Paradise QLD 4217, Australia. Contact: support@clabrate.com.
4. Updates
The license includes the updates we make available for the Software. We may deliver updates through the in-app updater. We are not obligated to provide updates or support, or to maintain compatibility indefinitely.
5. AI processing — on your Mac and in the cloud
- On your Mac. Dictation is transcribed on your Mac. The built-in AI model also runs on your Mac. The model files these features use are downloaded from third-party sources and are used by you under those third parties’ license terms (see Section 7).
- Cloud (optional). If you turn on a cloud AI feature, the Software sends what that feature needs to its provider. For a feature that uses your own key or login, that is under your agreement with the provider. Cloud Voice runs on your Clabrate account: it sends your audio, the conversation, and the results of the tools you have enabled directly from your Mac to Google, along with anything you attach, and Google processes them under Clabrate’s agreement with Google. The Privacy Policy lists each provider and what it receives.
6. Restrictions
You may not, and may not permit others to: (a) copy (except for one backup), redistribute, sell, rent, lease, sublicense, or otherwise make the Software available to third parties; (b) reverse engineer, decompile, or disassemble the Software, except to the extent this restriction is prohibited by applicable law; (c) circumvent, disable, or tamper with the Software’s account authentication, security or access mechanisms; (d) remove or alter any proprietary notices or labels; or (e) use the Software in violation of any applicable law.
7. Third-party components, models, and tools
- The Software includes open-source components licensed under their own terms. The required notices and licenses are available in the Software under Settings → About & updates → Open-source licenses and at clabrate.com/third-party-notices. Your use of those components is governed by their respective licenses.
- AI models the Software uses are obtained from third parties (e.g. Hugging Face) and licensed to you by them under their own terms. We do not own or distribute those model weights.
- Any separately-installed third-party tools you choose to use with the Software are governed by their own terms and are not our responsibility.
8. Ownership
The Software is licensed, not sold. We and our licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted except as expressly set out in these Terms.
Your content is yours. You retain all rights to the content you create with the Software — your audio, your transcripts, and the text it produces for you. We claim no ownership of it and do not claim ownership of content sent to chosen providers or voluntarily shared with support. Processing is described in the Privacy Policy. You are responsible for the content you dictate and for ensuring you have the right to use it.
9. Disclaimer of warranties
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT AI OUTPUTS WILL BE ACCURATE OR SUITABLE FOR ANY PURPOSE. YOU ARE RESPONSIBLE FOR REVIEWING AI-GENERATED OUTPUT BEFORE RELYING ON IT.
Australian Consumer Law. Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy you may have under the Australian Consumer Law or any other law that cannot lawfully be excluded. Where a guarantee applies and our liability for failing to comply cannot be excluded but can be limited, our liability is limited, at our option, to re-supplying the Software or paying the cost of having it re-supplied.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL. OUR TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
11. Termination
These Terms and your license terminate automatically if you breach them, as provided by applicable law. On termination you must stop using and remove all copies of the Software. Sections 6–10 and 12 survive termination.
12. Governing law
These Terms are governed by the laws of Queensland, Australia, without regard to its conflict-of-laws rules, and you agree to the non-exclusive jurisdiction of the courts of Queensland, Australia, to the extent permitted by law.
13. Changes to these Terms
We may update these Terms. We will publish material changes at clabrate.com/terms with a new date before they take effect. Continued use after changes take effect constitutes acceptance.
